This Agreement and all matters arising from it are governed by and construed in accordance with the laws of California whose courts shall have exclusive jurisdiction over all disputes arising in connection with this Agreement and the place of performance of this Agreement is agreed by you to be Los Angeles, CA. 
Any dispute in connection with these Conditions of Sale shall be finally settled by arbitration in Los Angeles, CA in accordance with the Commercial Arbitration Rules of the American Arbitration Association as then in effect.
